Welcome to purRpose Consulting & Coaching GmbH ("we," "us," "our"). These Terms & Conditions ("Terms") govern your access to and use of our website(s) purrpose.co and purrpose.ch (the "Website"), and the consulting and coaching services (the "Services") we provide.

By accessing or using our Website, you agree to be bound by these Terms. This is considered a passive agreement (implied consent). If you purchase Services through our Website, you will be required to affirmatively accept these Terms via a checkbox or click-through mechanism. If Services are engaged via a separate written agreement (e.g., a Service Agreement), these Terms will be referenced therein and form part of that agreement upon signature. If you do not agree to these Terms, you must not use our Website or Services.

3. Scope of Services

purRpose Consulting & Coaching GmbH provides structured, purpose-driven coaching and consulting services designed to support individuals, entrepreneurs, and organizations in gaining clarity, aligning with their core values, and executing intentional, values-driven strategies for personal and professional growth. Our methodology typically follows a three-phase process:

 

1) Find Your Compass: Defining core values, purpose, and focus areas.

2) Draw Your Map: Developing a long-term vision, strategic goals, and milestones.

3) Start Your Journey: Implementing strategies and maintaining accountability through regular check-ins, reviews, and performance tracking.

Services may include, but are not limited to, one-on-one coaching sessions, on- or off-site team/group workshops and facilitation, strategic planning sessions, quarterly reviews, and ongoing advisory support. Sessions may be conducted online (e.g., via video conferencing) or in person, and are available in English or German, as agreed.

Not Included in Our Services:

​

  • Therapy or Mental Health Services: Our services are not a substitute for psychological, psychiatric, or medical care. We do not offer crisis intervention or therapy for individuals in acute mental health situations.

  • Done-for-You Execution: While we provide strategic input, guidance, and accountability, we do not implement operational tasks or manage projects on behalf of clients.

  • Legal, Financial, or Tax Advice: Any business-related guidance or strategic insights provided are based on our experience and do not constitute formal legal, financial, or tax advice. Clients should consult with qualified professionals for such advice.

4. User Obligations and Conduct

As a user of our Website or a client receiving our Services ("Client," "you"), you agree to:

  • Attend scheduled sessions punctually and actively participate to gain the most benefit.

  • Provide accurate, complete, and truthful information to us as required for the provision of Services.

  • Communicate respectfully and constructively with our personnel and any other participants in group settings.

  • Complete any agreed-upon exercises, reflections, or "homework" to support your progress.

  • Use our Website and Services for lawful purposes only.

Prohibited Activities - you agree not to:

  • Make unauthorized recordings (audio or video) of any coaching sessions, workshops, or consultations.

  • Share, reproduce, redistribute, or otherwise exploit any proprietary materials, methodologies, or content provided by us, except as expressly permitted under the "Intellectual Property Rights" section of these Terms.

  • Attempt to gain unauthorized access to restricted or private areas of our Website, client portals, or shared digital workspaces (e.g., Google Workspace folders).

  • Misuse the coaching or consulting relationship for purposes other than those explicitly agreed upon.

  • Transmit any material that is unlawful, offensive, defamatory, infringes on intellectual property rights, or is otherwise objectionable.

  • Engage in any activity that could disrupt or interfere with our Website or Services.

 

Clients are solely responsible for the legality, accuracy, and appropriateness of the information and materials they provide to us and agree not to submit any data that infringes the rights of third parties or violates applicable laws.

5. Registration and Accounts (If Applicable)

Should we introduce user accounts for booking appointments, managing billing, or accessing specific content:

  • You agree to provide complete, accurate, and up-to-date information during the registration process.

  • You are solely responsible for safeguarding your account password and for all activities that occur under your account.

  • You must notify us immediately at hello@purrpose.co of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with these security obligations.

6. Use of Shared Materials (e.g., Google Workspace)

As part of the Services, Clients may be granted access to specific documents, templates, worksheets, or other materials via shared folders (e.g., on Google Workspace). These materials are provided for your personal use or internal business use within your organization/team for which the Services were engaged. These materials must not be:

  • Shared with any third party outside the organization or team for whom they were created without our prior written consent.

  • Altered (unless explicitly permitted for specific templates), published, sold, or redistributed in any form without our express written permission.

7. Payment Terms

  • Fees for Services: Pricing for our Services is published on our Website or detailed in individual service agreements or proposals. All fees are quoted in Swiss Francs (CHF) and are subject to Value Added Tax (VAT) where applicable under Swiss law.

  • Payment Schedule:

    • Packages (e.g., multi-session programs, projects): Typically, 50% of the total fee is due upfront before the commencement of Services, with the remaining 50% due upon completion or as otherwise specified in the service agreement.

    • Individual Sessions: Payment is invoiced immediately after the session has taken place and is due within fifteen (15) days from the invoice date.

  • Accepted Payment Methods: Initially, payment is accepted via bank transfer. We may introduce additional payment methods (e.g., credit card payments via a third-party processor) in the future, which will be communicated accordingly.

  • Late Payments: Payments not received by the due date will be considered late. Late payments may be subject to interest charges in accordance with Swiss law. We reserve the right to suspend the provision of Services if payments are overdue by more than thirty (30) days, after providing notice.

8. Refund and Cancellation Policy

  • Refunds:

    • Once Services have commenced, fees paid are generally non-refundable.

    • For prepaid packages, partial refunds for unused services may be considered on a case-by-case basis if a cancellation request is made with sufficient notice (as outlined below) and at our sole discretion.

  • Cancellations by Client:

    • Individual Sessions: Cancellations or rescheduling requests must be made at least forty-eight (48) hours in advance of the scheduled session time. Cancellations made with less than 48 hours' notice, or no-shows, will result in a charge of 50% of the scheduled session fee.

    • Workshops or Projects: For cancellation of participation in a workshop or termination of a larger consulting project, a minimum of five (5) business days' notice is required prior to the scheduled start date or next major milestone. Late cancellations may incur a fee of 50% of the agreed fee for that component of the service. Specific cancellation terms for larger projects may be detailed in the service agreement.

  • Cancellations by Us: We reserve the right to cancel or reschedule sessions or services due to unforeseen circumstances. In such cases, we will provide as much notice as possible and will offer alternative dates or a full refund for any prepaid, undelivered services.

9. Intellectual Property Rights

  • Our Ownership: All content, materials, and intellectual property created or provided by purRpose Consulting & Coaching GmbH, whether as part of the Website or the Services, including but not limited to: our methodologies, coaching and consulting frameworks, exercises, templates, documents, worksheets, workshop designs, presentation materials, website text, graphics, logos, and blog articles (collectively, "Our IP"), are the exclusive intellectual property of purRpose Consulting & Coaching GmbH and are protected by applicable copyright, trademark, and other intellectual property laws.

  • Client Materials: Clients retain ownership of any pre-existing materials, data, or intellectual property they provide to us ("Client Materials") for the purpose of receiving Services. Clients grant purRpose Consulting & Coaching GmbH a limited, non-exclusive, royalty-free license to use such Client Materials solely for the purpose of delivering the agreed-upon Services.

  • License to Clients: Upon receipt of full payment for the relevant Services, Clients are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use Our IP (specifically materials provided directly to them as part of the paid Services) solely for their personal or internal business use directly related to the engagement for which the Services were provided. Our IP may not be reproduced, copied, modified, distributed, sold, leased, shared with third parties (unless explicitly agreed for team settings), or otherwise commercially exploited without our prior express written consent.

  • User-Generated Content: If you submit any content to our Website (e.g., comments on blog posts, testimonials), you grant purRpose Consulting & Coaching GmbH a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, adapt, publish, translate, and distribute such content in any existing or future media for our business purposes, such as marketing or improving our Services. You represent and warrant that you have the right to grant this license.

10. Confidentiality

  • Our Commitment: We are committed to maintaining the strict confidentiality of all non-public information disclosed by you during the provision of Services, in alignment with our Privacy Policy and professional coaching ethics. Client data (including but not limited to session notes, strategic documents, assessments, and communications) will be stored securely via our authorized platforms (Google Workspace, Wix, or equivalent). Clients may request deletion or access in accordance with our Privacy Policy.

  • Client Commitment: Clients agree to maintain the confidentiality of any proprietary or confidential information disclosed by purRpose Consulting & Coaching GmbH, including but not limited to our business practices, methodologies, unpublished materials, and the content of coaching sessions if it pertains to our proprietary approaches.

  • Exceptions: The obligations of confidentiality shall not apply to information that:

    • Is or becomes publicly available through no fault of the receiving party.

    • Was rightfully in the possession of the receiving party prior to disclosure by the other party.

    • Is independently developed by the receiving party without reference to the confidential information of the other party.

    • Is required to be disclosed by law, regulation, or a valid court order (in which case the disclosing party will, where legally permissible, provide prior notice to the other party).

    • Is shared by us with appropriate authorities if we believe, in good faith, that such disclosure is necessary to prevent imminent harm or danger to the Client or others.

11. Disclaimers

  • No Guarantees: Client acknowledges that coaching and consulting are processes that depend significantly on the Client's own effort, motivation, decision-making, and commitment. purRpose Consulting & Coaching GmbH makes no guarantees, representations, or warranties regarding specific business outcomes, personal achievements, financial gains, or any other results from the use of our Services. Your success is your own.

  • Not Professional Advice: The Services provided by purRpose Consulting & Coaching GmbH, including all content on our Website, are for informational and educational purposes only and do not constitute legal, financial, tax, medical, psychological, or other regulated professional advice. Clients should consult with appropriately qualified professionals for advice pertaining to such matters.

  • "As Is" and "As Available": Our Website, Services, and all related materials are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Website or Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by Swiss law:

  • ​​In no event shall the aggregate liability of purRpose Consulting & Coaching GmbH for all claims relating to the Services exceed the total amount of fees paid by the Client to purRpose Consulting & Coaching GmbH for the specific Service from which the claim arose in the three (3) months immediately preceding the event giving rise to the claim.

  • purRpose Consulting & Coaching GmbH, its directors, employees, contractors, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services or Website; (ii) any conduct or content of any third party on the Services or Website; (iii) any content obtained from the Services or Website; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

13. Indemnification

Clients agree to indemnify, defend, and hold harmless purRpose Consulting & Coaching GmbH, its directors, officers, employees, contractors, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
 

  • Your access to or use of our Website or Services.

  • Your breach of any of these Terms & Conditions.

  • Your violation of any applicable law or the rights of any third party.

  • Any Client Materials you provide to us.

14. Term and Termination

  • Term: These Terms become effective upon your first use of our Website or upon engaging our Services and shall remain in full force and effect until terminated as set forth herein.

  • Termination by Client: You may terminate your engagement for Services by providing at least seven (7) days' written notice before the next scheduled session or project milestone, subject to any specific termination clauses in a separate service agreement.

  • Termination by Us: We may terminate or suspend your access to our Services and/or Website, with or without prior notice, for any reason, including, without limitation:

    • If you breach these Terms.

    • For non-payment of fees.

    • For misconduct or behavior that we deem detrimental to the coaching/consulting relationship or to other clients. In cases of severe breach or misconduct, termination may be immediate.

  • Consequences of Termination - upon termination:

    • All outstanding fees owed to purRpose Consulting & Coaching GmbH shall become immediately due and payable.

    • Your right to access and use the Services and any specific materials or shared content provided as part of ongoing services will cease.

    • Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions (Intellectual Property Rights), confidentiality obligations, disclaimers, limitations of liability, indemnification, and governing law and dispute resolution clauses.

15. Third-Party Links

Our Website may contain links to third-party websites or services that are not owned or controlled by purRpose Consulting & Coaching GmbH. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that purRpose Consulting & Coaching GmbH shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

16. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice. What constitutes a material change will be determined at our sole discretion. Significant changes will be communicated by posting the updated Terms on our Website and updating the "Last Updated" date. For active Clients with ongoing service agreements, material changes may also be communicated via email.

Your continued use of our Website or Services after any such modifications become effective constitutes your acceptance of the new Terms. If you do not agree to the new terms, you are no longer authorized to use the Website or Services.

17. Governing Law and Dispute Resolution

  • Governing Law: These Terms & Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.

  • Place of Jurisdiction: Unless otherwise agreed in writing or mandated by overriding legal provisions, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms and the contractual relationship between you and purRpose Consulting & Coaching GmbH shall be Wetzikon, Zurich, Switzerland.

  • Dispute Resolution Process: The parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services or Website (collectively, "Disputes") through good faith informal negotiation. If the Dispute cannot be resolved through negotiation within thirty (30) days from the date the Dispute arose, the parties agree to attempt to resolve the Dispute through mediation in Switzerland, with a mediator mutually agreed upon, before resorting to litigation. If mediation is unsuccessful, or if the parties do not agree to mediate, the Dispute shall be finally settled by the competent courts in Wetzikon, Zurich, Switzerland.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any separate service agreement or proposal executed between you and purRpose Consulting & Coaching GmbH, constitute the entire agreement between you and purRpose Consulting & Coaching GmbH regarding your use of our Website and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website and Services. In the event of any conflict between these Terms and a specific service agreement, the terms of the service agreement shall prevail for that specific engagement.
